Advice on buying an XJ

I've decided that after putting all the time I have into my YJ I probably don't want to beat it up on the trails, so for the past 2(ish) months I've been pricing XJ's in my area. It's not uncommon to see a fairly priced, built one sell in 12-24 hours, so I need to stop dithering and make up my mind. Currently I'm looking at 2

XJ #1 - 2001

200k on the odo
3.5" rc lift
No deathwobble according to the owner
32" cooper AT's with good tread
Sloppy steering - which could mean a million things so I'll have to drive it
Nice aftermarket front bumper

Asking price $1200

XJ#2 - 1996
127k
5.5" of lift with a combo of springs, spacers, new leafs, and shackles
33" Mud Terrains with good tread

Apparently there is an electrical short in the vehicle that causes it to discharge batteries, so the owner does not have a battery for it. I would obviously bring my own, but I'm not stoked that it hasn't been started in god knows how long.

Asking price $3000 - Obviously this is not what I would be interested in paying, but he seems like a motivated seller.

Other than rust, which I'm very familiar with, what types of things should I be on the lookout for? And what do you guys think a good price for either of these trucks ought to be.
