I've been told there isn't enough room under the rear seat of a 2 door, but our shop owner has access to one and will look into it to see what can be done.
2D seat sits directly on the floor of the Jeep.

I don't know many things that are truly waterproof!
It is made out of MDF and has a Rhino lining on the outside of it.
If you were to use marine style subs, then I guess you could say that it can be water resistant.

It wasn't the easiest to install and neither was taking the picture!
It was installed in the driver's kick area next to the steering column.
I'm guessing the rear seats had to be unbolted to get that box under there? You should also look into making a box that's only under one of the seats so that the other seat can still be folded down. I would really hate to lose that functionality.
I'm guessing that since the rear seat of the two door resides in between the wheel wells, the available space is too limited for a pair of subs, but it may still be feasible to make a single sub enclosure with some space for an amp to be mounted onto it.
