2002 Wrangler, 160k, needs engine. Advice please!

So I had posted in the TJ section about the possibility of getting this vehicle. At the time I was told it was a 2005 LJ well that was wrong so here are the details.

2002 Wrangler X (original owner)
4.0L 5-speed
160,000 miles
Soft top with hard doors
Newer radiator, breaks and shocks

*NEEDS: Tires, front fender (rust hole), windshield (cracked) and hinges (rusty) and ENGINE (bottom end tick).

He wants $3200 firm. It's my bosses friends so he is honest and up front about the info.

He said the engine has a engine tick in the lower end. He said the mechanic put a stethoscope on it and heard it.

KBB says fair condition is $4375 and poor condition is N/A which is what i think this is due to the engine and mild rust on the fender.

My plan is to replace/rebuild the engine, replace the clutch and clutch parts and install a 2.5in lift.

So what are your opinions?

I would offer the guy 2500...then it might be worth it...but nothing more because even if you get it back to excellent condition it will only be worth ~ $5600, and that's after putting $2-3k into it...so up to you

WANTED: SYE and cv shaft...good condition and good price. for a TJ with about 5-6" of lift.

Ya that's what I was thinking. $2000-2500. It's just not worth it otherwise.

I would offer him at most $2500 as well, if he wants more he can stick the money into it to fix, I always laugh when people want a ton of money for something they beat, and didn't take care of.
