ZJ difficult shifting into 4th gear - rebuild?

I'm considering purchasing a 1 owner ZJ. The asking price is pretty cheap as they told me the trans is slipping a little. I haven't checked it out but they tell me that it has trouble shifting into 4th gear but once shifted it drives fine.

Does that sound like it needs a rebuild?
Anyone who has previous rebuilt their 4wd 4.0L ZJ trans, about how much did it run you to do?
